This Terms of Service Agreement (“Agreement”) details your rights and responsibilities when using Civicom’s websites, mobile apps, content materials, website designs, products, technologies, including all programs, related documentation, and updates (collectively, “Services”). “You” refers to any person or entity which accesses or uses our Services. Agreement. By using Civicom services, or by otherwise indicating that you agree, you are agreeing to these terms, so please take a moment to read this legally binding Agreement, along with our Privacy Policy and our Cookie Policy. We may modify this Agreement at any time, any modification shall be effective 30 days after posting. We agree to notify our registered users of modifications we regard as material by electronic mail sent to the email address you provide us during signup. Your E-Mail Address. You agree to maintain a valid electronic mail address and some form of Internet access throughout the term of this Agreement and to notify us of any change to that electronic mail address so that we know how to reach you. You agree that communication to the email address you provide to us is sufficient for notifications relating to your use of the Services. Intellectual Property Rights. Civicom proprietary websites, apps, and account designs, and their entire contents, features, and functionality, and those owned by Civicom licensors or other providers of content, are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. This includes, but is not limited to, all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof, other than User Generated Content as defined below. We grant you a limited, non-exclusive, non-transferable, and revocable license to use our intellectual property as to the extent necessary for us to deliver the Services. You must not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, or otherwise make use of the Services .... The only exception to the limited, non-exclusive, non-transferable, and revocable license is for any marketing content published on our website for which we have provided a link to for you to download. You agree not to sublicense or charge others to use our Services without our written consent. We occasionally may provide automatic or voluntary upgrades to improve your usage experience. Any such upgrades are provided pursuant to these same conditions. Trademark. You agree not to use the name Civicom, or any brand names, logos, product and service names, designs, and slogans that are registrations and/or trademarks of or are in prior use by Civicom or our affiliates or licensors, and all other related product and service names, without our express written permission. User Generated Content. User Generated Content means any form of content such as video, blogs, discussion forum posts, digital images, audio files, music, software, designs, typefaces, graphics, HTML, and any other forms of media created by consumers or end-users of an online platform or service whether it is user generated or publicly available. You agree that before posting content you have all necessary rights to use and post the User Generated Content on the Services platform or application. You understand and acknowledge that you are responsible for any User Generated Content you submit or contribute. You accept full responsibility for such content including its legality (this means all applicable federal, state, local and international laws and regulations), reliability, accuracy and appropriateness. You agree that we are not responsible, or liable to any third party, for the accuracy of any User Generated Content submitted by you. Specifically, you agree that User Generated Content uploaded by you to our platforms and applications will not:

Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
Promote inappropriate sexually explicit or pornographic material, or violence, or promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Infringe on any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person or entity.
Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Service and our Privacy Policy.
Be likely to deceive any person, or give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
Promote any illegal activity, or advocate, promote, or assist any unlawful act.

Except as expressly indicated otherwise, we are not promoters or sponsors or otherwise affiliated with the providers of any goods or services that may be contained in any User Generated Content. When you upload, submit, store, send or receive content to or through our Services, we will ensure that content is encrypted. Your information will be kept private in accordance with our Privacy Policy. For market research studies, please see the applicable additional terms. Use of CCam focus and Glide Central Additional Terms. These additional terms apply to users of the CCam focus and/or Glide Central platforms (Web Interface). By using the Web Interface, or by otherwise indicating that you agree, you are agreeing to these terms, in addition to the Civicom Terms of Service, Privacy Policy and Cookie Policy. Software License. For the agreed duration of access to the CCam focus and Glide Central platforms, Civicom grants you, and you accept, a worldwide, non-transferable, non-exclusive license, revocable right to access the Web Interface via the internet. You acknowledge that access and use of the Web Interface will be web-based only and not provided in any other form of media. Access and Use. For a mutually agreed duration, Civicom will facilitate access to you, and other authorized users according to accepted instructions. You agree to monitor who accesses rooms and sessions, and to be liable for any violations of Civicom Terms of Service by users who access the Web Interface as directly or indirectly facilitated by you. You agree that before sharing links that enable access to the Web Interface, you have permission from the site administrative user(s) to do so. Live streams and recorded interviews and sessions, may be protected by confidentiality agreements and data protection laws. You agree that before you provide access to the Web Interface that you have the necessary rights to do so and you agree that Civicom is not responsible for any confidentiality or privacy obligations that are caused by your provision of access to the Web Interface. You agree that where user data is subject to data protection laws, you have entered into all legally required written agreements with us. You acknowledge that Civicom may suspend or disable an account and/or any access to the Web Interface at any time in the interest of confidentiality and data protection. Live Streaming. CCam focus live streaming sessions are provided through a third-party service that integrates with the Web Interface. LIMITATION breaches caused by third-party partners affecting data and recordings/files Service Level. The CCam focus and Glide Central platforms are hosted by a third-party service. We do not guarantee uninterrupted or error free service, nor offer credits, unless you have entered into a separate written agreement with us. Feedback. We welcome you to share any feedback, suggestions, or ideas you have about the Services, so long as you understand we may already have had the same idea, and you agree that we are free to use any feedback you voluntarily provide with no restriction or obligation (payment or otherwise) to you. Links To Other Sites. Our website may contain links to websites operated by other parties. We do not control and are not responsible for the content and performance of these sites or for your transactions with them. Links to such websites does not imply any endorsement of the material on such websites or any association with their operators. We do not operate, control or endorse any information, products or services provided by third parties through the Internet. Your participation, correspondence, or business dealings with any third party found on or through any of our Apps or other Services, regarding the payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. You agree that we shall not be responsible or liable for any loss, damage or other matters of any sort incurred as the result of any such dealings. Links To Our Site. You may create links to pages within our Services, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. However, you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent. We reserve the right to disallow any such link at any time in our sole discretion. Our Services may provide certain social media features that enable you to:

Link from your own or certain third-party websites to certain content on the Services.
Send e-mails or other communications with certain content, or links to certain content, through the Services.

You may use these features solely as they are provided by us and solely with respect to the content they are displayed with. Subject to the foregoing, you must not:

Cause the Services or portions of it to be displayed, or appear to be displayed by, for example, framing, deep linking or in-line linking, on any other site.
Otherwise take any action with respect to the materials within the Services that are inconsistent with any other provision of these Terms of Service.

You agree to cooperate with us in causing any unauthorized framing or linking immediately to cease. We reserve the right to withdraw linking permission without notice. We may disable all or any social media features and any links at any time without notice at our discretion. Fees. Our fee schedule is as set forth in our project estimates, estimate updates, statements of work, detailed project summaries, or invoices we send to you, or in the rates, fees or billing pages of a Civicom website. These documents or pages set forth the fees you will incur through use of the Services. In addition, you are responsible for all Services incurred, purchases made, applicable taxes, plus USF charges and fees incurred for phone calls and audio conferences. Participation in market research studies does not incur fees for respondents.
